Terms of Service

Effective date: 11 September 2025

These Terms of Use (the “Terms”) govern access to and use of the websites, applications, and services offered by RegWatch, a service of Dynamiq Technologies Inc. (“RegWatch,” “we,” “us,” “our”). By creating an account, clicking “I agree,” or using the Services, you agree to these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

1. Definitions

• Account means your RegWatch user or organization account.
• Customer or you means the organization or person accepting these Terms.
• Customer Data means content you or your users submit to the Services, including internal policy documents and materials connected for gap analysis.
• Personal Data means information relating to an identified or identifiable natural person.
• Services means the RegWatch web application, features (including AI features), websites, and related services we provide.
• Subscription means a paid plan granting time-limited access to the Services.

2. Eligibility; Business Use

The Services are intended for business use by users 18 years and older. You must provide accurate Account information and keep it current.

3. Account Registration and Security

You are responsible for all activities under your Account and for maintaining the confidentiality of credentials. Notify us immediately of any unauthorized use.

4. Subscriptions; Trials; Changes

We may offer free trials or pilot access. Trials may be limited and may end or convert to paid Subscriptions as stated at sign-up. We may add, change, or remove features upon reasonable notice; if a change materially reduces core functionality for a current term, you may terminate at the end of that term.

5. Fees, Billing, and Payment (Stripe)

Fees are stated at checkout, in an order form, or on our pricing page and are payable in advance for each Subscription term unless otherwise agreed in writing.

• Payment processor. We use Stripe to process payments. By purchasing, you authorize RegWatch and Stripe to charge your payment method and you agree to Stripe’s applicable terms and privacy policy.
• Auto-renewal. Subscriptions renew automatically at the then-current rates unless you cancel before the renewal date in your Account or by written notice.
• Taxes. Fees exclude taxes, levies, and duties. You are responsible for applicable taxes (except taxes based on our income).
• Invoices; late amounts. Unless otherwise stated, all amounts are due upon receipt. Overdue amounts may accrue interest at 1.5% per month (or the maximum permitted by law), plus reasonable collection costs.
• Refunds. Except where required by law or expressly stated, fees are non-refundable.

6. Acceptable Use

You will not: (a) misuse the Services; (b) reverse engineer or circumvent technical limits; (c) use the Services to process unlawful content; (d) infringe IP or privacy rights; (e) interfere with or disrupt the Services; (f) attempt to gain unauthorized access; or (g) use the Services to provide competing services.

7. Customer Data; Privacy; DPA

• Ownership. You retain all rights to Customer Data.
• License to operate the Services. You grant RegWatch a worldwide, non-exclusive, limited license to host, process, transmit, display, and back up Customer Data solely to provide and improve the Services.
• Processor role. For Customer Data that may include Personal Data, RegWatch acts as a processor/service provider on your instructions. Our Privacy Policy (incorporated by reference) describes Personal Data we collect as a controller. Where required, a Data Processing Addendum (DPA) governs our processing; if you need one, contact us.
• No training on Customer Data (by default). We do not use Customer Data to train generalized AI models unless you expressly opt in.

8. AI Features; No Legal Advice

The Services may include AI-powered features that monitor public regulatory sources, interpret changes, and help generate obligations and recommendations.

• Human review. Outputs may be probabilistic, may contain errors, and are intended to assist - not replace - professional judgment. You are responsible for reviewing outputs before relying on them.
• No legal advice. RegWatch is not a law firm and does not provide legal advice. Use of the Services does not create a lawyer-client relationship.
• Usage restrictions. Do not input confidential or sensitive personal data unless necessary and lawful for your use case.

9. Third-Party Services

The Services may interoperate with third-party services (e.g., cloud storage, identity providers). Your use of third-party services is subject to their terms and policies; we are not responsible for their acts or omissions.

10. Service Availability; Support

We aim to provide reliable Services but do not guarantee uninterrupted operation. Planned maintenance will be scheduled when feasible. Support channels and response windows may be described in your order or on our site.

11. Security

We maintain administrative, technical, and physical safeguards designed to protect the Services and Customer Data. No method of transmission or storage is completely secure; you acknowledge inherent risks.

12. Confidentiality

“Confidential Information” means non-public information disclosed by either party that is marked confidential or reasonably should be considered confidential. Each party will: (a) use it only to perform under these Terms; (b) protect it using reasonable care; and (c) not disclose it to third parties except to personnel and processors bound by confidentiality obligations. Exclusions apply for information that is public, independently developed, or properly received from another source.

13. Intellectual Property; Feedback

RegWatch and its licensors own all rights in the Services, including software, models, interfaces, and documentation. No rights are granted other than those expressly stated. You grant us a royalty-free, worldwide license to use feedback or suggestions to improve the Services.

14. Suspension and Termination

We may suspend or terminate access immediately if you materially breach these Terms, pose a security risk, or use the Services unlawfully. You may terminate at any time by canceling your Subscription; termination is effective at the end of the current term unless otherwise agreed.

Effect of termination. Upon termination, your right to use the Services ceases. We will make Customer Data export available for a limited period (e.g., 30 days) upon request, except where prohibited by law or your account is terminated for unlawful conduct.

15. Warranties and Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR AI OUTPUTS WILL BE ERROR-FREE, COMPLETE, OR MEET YOUR REQUIREMENTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY YOU TO REGWATCH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR EITHER PARTY’S WILLFUL MISCONDUCT.

17. Indemnification

You will defend, indemnify, and hold harmless RegWatch, its affiliates, and their officers, directors, and employees from any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms or law; (b) Customer Data; or (c) any dispute between you and a third party related to your use of the Services.

18. Export; Sanctions; Anti-Corruption

You represent that you are not located in, under control of, or a national or resident of any country or party subject to U.S., U.K., or E.U. sanctions. You will comply with applicable export control, sanctions, and anti-corruption laws (including the U.S. FCPA and UK Bribery Act).

19. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflicts rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware. Each party waives any objection to venue or forum non conveniens.

(Optional arbitration clause can be added upon request.)

20. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. If a change is material, we will provide notice (e.g., by email or in-app). Changes take effect upon posting or as otherwise stated. Continued use after the effective date constitutes acceptance.

21. Assignment; Subcontracting

You may not assign these Terms without our prior written consent; any unauthorized assignment is void. We may assign or subcontract in connection with a merger, acquisition, or sale of assets, or to trusted service providers.

22. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including acts of God, internet failures, labor disputes, governmental acts, or third-party platform outages.

23. Notices

Notices to RegWatch must be sent to support@getdynamiq.ai and, for legal notices, to the address listed above. We may provide notices to you via the email associated with your Account or through the Services.

24. Entire Agreement; Severability; Waiver

These Terms, any order forms, and referenced policies (including the Privacy Policy and, if executed, the DPA) constitute the entire agreement and supersede all prior agreements regarding the Services. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.

Stripe Notice

Payments are processed by Stripe. By submitting a payment, you agree to Stripe’s Services Agreement and Privacy Policy. We do not store full payment card numbers on our systems.
